Terms of Service
Overview
These Terms of Service ("Terms") govern your access to and use of the products and services provided by Uldrix LLC ("Uldrix," "we," "us," or "our"), a Minnesota limited liability company. By subscribing to or using any Uldrix service, you agree to be bound by these Terms. If you do not agree, do not use our services.
1. Description of Service
Uldrix provides an AI-powered voice receptionist service that handles inbound phone calls, books appointments, and performs related tasks on behalf of subscribing businesses ("the Service"). The Service operates 24 hours a day, 7 days a week and is delivered via Uldrix's software platform.
Specific features and capabilities vary by plan. We reserve the right to modify, enhance, or discontinue features at any time, with or without notice, as we continue to develop the platform.
2. Subscriptions, Pricing, and Billing
Access to the Service requires a paid subscription. Current plan pricing is as follows:
- Uldrix Business — $80.00 per month. Includes 24/7 live call handling, appointment booking, Google Calendar integration, and a custom business voice and persona.
Subscriptions are billed on a recurring monthly basis beginning on the date you first subscribe. Your payment method on file will be charged automatically at the start of each billing cycle. All fees are stated in U.S. dollars and are exclusive of any applicable taxes.
We reserve the right to change subscription pricing with at least 30 days' notice delivered to your registered email address. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
3. Cancellation Policy
You may cancel your subscription at any time through your account dashboard or by contacting us at john@uldrix.com. Cancellation takes effect at the end of the current billing period — your access to the Service will continue until that date.
We do not provide refunds or credits for partial billing periods, unused time, or unused features. Once a monthly charge has been processed, that charge is final.
Uldrix reserves the right to suspend or terminate your account for violation of these Terms, non-payment, or other conduct detrimental to the Service or its users. In the event of termination for cause, no refund will be issued.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:
- Violate any applicable federal, state, or local law or regulation, including laws governing telecommunications, consumer protection, and privacy.
- Harass, threaten, defraud, or deceive any person, including callers interacting with an Uldrix-powered receptionist.
- Transmit spam, unsolicited commercial communications, or automated calls in violation of the Telephone Consumer Protection Act (TCPA) or any similar law.
- Impersonate any person or entity or misrepresent your affiliation with a person or entity.
- Attempt to reverse-engineer, scrape, or extract data from the Service or its underlying AI systems.
- Interfere with or disrupt the integrity or performance of the Service or any infrastructure used to deliver it.
- Use the Service to process calls or conversations involving minors under 13 without verifiable parental consent.
Uldrix reserves the right to investigate suspected violations and to suspend or terminate accounts accordingly.
5. SMS Messaging Consent
Uldrix's AI receptionist may send automated SMS text messages in connection with calls handled on behalf of subscribing businesses — for example, to send appointment confirmations, follow-up information, or call summaries to callers.
By calling a business that uses Uldrix as its AI receptionist, you consent to receive automated SMS messages from or on behalf of that business via the Uldrix platform. Standard message and data rates from your wireless carrier may apply. Message frequency varies based on your interaction with the business.
To opt out of SMS messages at any time, reply STOP to any message you receive. You will receive one final confirmation message and no further messages will be sent. For help, reply HELP or contact the business directly.
Businesses using Uldrix are responsible for ensuring their SMS use complies with applicable law, including the TCPA and any applicable state telemarketing statutes.
6. Intellectual Property
The Service, including its software, AI models, voice personas, user interface, and all related materials, is owned by Uldrix LLC and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription term.
You retain ownership of any content or data you provide to Uldrix (such as business information, call scripts, or calendar data). You grant Uldrix a limited license to use that content solely to operate and improve the Service.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ULDRIX LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ULDRIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL ULDRIX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT YOU PAID TO ULDRIX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. ULDRIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI RESPONSES WILL BE ACCURATE OR COMPLETE.
8. Indemnification
You agree to indemnify, defend, and hold harmless Uldrix LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
9. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Minnesota, and you consent to personal jurisdiction in those courts.
10. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will provide at least 14 days' notice via email to your registered address. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
